1. Agreement

Welcome to Starlight Studios! These Terms and Conditions ("Terms") govern your use of the Starlight Studios website and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Services.

You agree to use our Services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within our Services.

You are responsible for providing accurate and complete information required for the provision of our Services. This includes, but is not limited to, project details, timelines, and any specific requirements. Failure to provide accurate information may result in delays or additional costs.

Starlight Studios retains ownership of all original video content, including raw footage, unless otherwise agreed upon in a separate written agreement. Clients are granted a license to use the final video product for the agreed-upon purposes. Any unauthorized use, reproduction, or distribution of our video content is strictly prohibited.

Our Services may include links to third-party websites or services that are not owned or controlled by Starlight Studios. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Starlight Studios is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

3. Limitation of Liability

To the fullest extent permitted by applicable law, Starlight Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

In no event shall Starlight Studios' aggregate liability to you for all claims relating to the Services exceed the amount you paid to Starlight Studios for the Services. The limitations of this section shall apply to any theory of liability, whether based on warranty, contract, tort (including negligence), or otherwise, even if Starlight Studios has been advised of the possibility of such damage.

Starlight Studios is not responsible for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

This limitation of liability applies even if Starlight Studios has been advised of the possibility of such damages. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the greatest extent permitted by law.

4. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Los Angeles County, California, for the resolution of any disputes arising out of or relating to these Terms or the Services.

5. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
